Terms of Service

These Terms of Service (“Terms”) apply to all software applications, plugins, and integrations (collectively, referred to as “Apps”) provided by Two Tall Totems Ltd. (DBA as “TTT Studios” “Handled,” “we,” “us,” or “our”) for use with third-party platforms including, but not limited to, Microsoft 365, Google Workspace, SharePoint, Asana, and Slack.

By installing, accessing, or using any Handled App, you (“You,” “User,” “Client” or “Customer”) agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.


1. Eligibility, License, and Access

Handled Apps are intended for business and enterprise use and are only made available under an active Service Agreement; we do not offer free or trial use. Our Apps may be installed directly by an organization’s IT administrator on behalf of your organization or by a team Handled team member. Your use of the Apps also requires compliance with the applicable third-party platform’s terms (e.g., Microsoft, Google, Slack) in addition to these Terms.

We grant you a limited, non-exclusive, non-transferable license to access and use the Apps for internal business purposes only.

You may not:

  • Copy, modify, or distribute the Apps.

  • Reverse engineer or attempt to extract the source code.

  • Resell, sublicense, or make the Apps available outside your organization.

If you are a paying client and have a separate written Service Agreement with us, that agreement, including any attached Statements of Work (SOW) or Service Level Agreements (SLA), will govern your use of the Apps. In the event of any conflict between these public Terms of Service and your signed Service Agreement, the terms of your Service Agreement shall prevail.\


2. Acceptable Use

When using the Apps, you agree not to:

  • Use them for unlawful, abusive, or fraudulent purposes.

  • Interfere with or disrupt the security, integrity, or performance of the Apps.

  • Attempt to gain unauthorized access to systems or data.

  • Exceed usage limits or misuse integrations with third-party platforms.


3. Data & Privacy
You retain ownership of all data submitted through the Apps.

Handled processes data only as necessary to provide the Apps, in accordance with our Privacy Policy. Depending on the platform, Apps may request permissions (e.g., access to files, calendars, or messages), which are limited to providing intended functionality.

For paying clients, the specific data handling, security, and confidentiality terms are further detailed in the Service Agreement and SOW.


4. Third-Party Services

Handled Apps integrate with third-party services (e.g., Microsoft 365, Google Workspace, Slack). Your use of those services remains subject to their own terms and policies.

Handled is not responsible for the functionality, security, or performance of any third-party platforms.


5. Updates & Availability

We may update or modify the Apps at any time. While we do not guarantee uninterrupted availability to all users or compatibility with every technical environment, the uptime and service level commitments for our paying clients are specified in a separate Service Level Agreement (SLA).

Organization administrators are responsible for ensuring their systems meet the requirements for installation and updates.


6. Intellectual Property

All rights, title, and interest in and to the Apps, including all intellectual property rights, remain with Handled. These Terms do not transfer ownership of any intellectual property.


7. Termination

Handled may suspend or terminate your access to the Apps if you breach these Terms.

You or your organization's IT administrator may uninstall the Apps at any time. Upon termination or uninstallation, your right to use the Apps will immediately cease. Any data associated with your use of the Apps may be deleted in accordance with our Privacy Policy.


8. Disclaimers & Limitation of Liability

THE APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANDLED IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APPS.

IN NO EVENT WILL HANDLED’S TOTAL CUMULATIVE LIABILITY EXCEED THE FEES PAID UNDER YOUR SERVICE CONTRACT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM..


9. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles. All disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia. 

Before resorting to formal litigation, both parties agree to attempt to resolve disputes in good faith through negotiation or mediation.

10. Survival of Clauses

The following sections will survive any termination or expiration of these Terms: "Data & Privacy," "Intellectual Property," "Termination," "Disclaimers & Limitation of Liability," "Governing Law and Dispute Resolution," and "Contact."


11. Changes to this statement

If there are changes or additions to our Terms of Service, we will post those changes here prior to implementing the change, as such, Handled encourages you to periodically review our Terms of Service so you are informed on how your information is being protected and used.

If we make material changes, we will provide notice through the Apps or other reasonable means. Continued use of the Apps after changes are posted constitutes acceptance.
